
End User License Agreement (EULA)
for APPVISION extensions (apps) for Microsoft Dynamics 365 Business Central

Important notice
Before installing or using the Product, please read in particular the following provisions. They deviate from statutory default rules or from common practice, and you expressly accept them by accepting this EULA:
APPVISION's right to amend this EULA unilaterally (Section 29);
the disclaimer of warranties and the limitation of liability, including a cap on liability (Sections 18 and 19);
suspension and termination of your License, and discontinuation of the Product (Sections 26 and 27);
your indemnification obligation (Section 20);
the collection of license verification data, Telemetry and technical information (Sections 4.4 and 9);
your continued responsibility for tax, accounting and regulatory compliance (Section 11).
Preamble
This End User License Agreement ("EULA") is a legal agreement between you, the End User, and AppVision Kft. (Registered office: 1087 Budapest, Könyves Kálmán Krt. 48-52, 1st floor D/106, Hungary; company registration number: 01-09-328923; tax number: 26500919-2-42) ("APPVISION", "we", "us"). It governs the use of the APPVISION software product that accompanies this EULA, including associated media, Related Material and any related APPVISION Internet-based services (the "Product"). An amendment or addendum to this EULA may accompany the Product. By accepting this EULA, or by installing, deploying, accessing or using the Product, you agree to be bound by its terms. If you do not agree, do not install or use the Product.
1. Definitions
1.1 "End User" or "you" means a business (a legal entity, another organization, or an individual acting in the course of their trade, business or profession) that has obtained Licenses to use the Product exclusively for its own internal business purposes. Deploying the Product from Microsoft AppSource or accepting an installation of the Product performed by APPVISION or a Partner, constitutes obtaining a License for the purposes of this EULA.
1.2 "Product" means the APPVISION software applications (extensions/apps) for Microsoft Dynamics 365 Business Central provided by APPVISION to the End User or to a Partner in any form or media, including transmission in electronic form. It includes all modifications, corrections, improvements, enhancements, upgrades and updates provided now or later by APPVISION.
1.3 "Partner" means a Microsoft partner that maintains a current and valid agreement with Microsoft for the resale of Microsoft Dynamics 365 Business Central and is authorized by APPVISION to resell or deploy the Product.
1.4 "Related Material" means all documentation, product pages, release notes and other printed or electronic material provided with the Product by APPVISION or by the Partner for use with the Product.
1.5 "License" means the right to use the Product obtained by the End User, measured in License Units in accordance with Section 4.
1.6 "License Unit" means the metric by which the Product is licensed, i.e. Microsoft tenants, Named Users, Environments or Companies, as specified in the Order or on the Product's Microsoft AppSource page.
1.7 "Named User" means an individual Business Central user, identified by a unique login identity, who is licensed to use the Product.
1.8 "Environment" means a Business Central production or sandbox environment within the End User's Microsoft tenant.
1.9 "Company" means a company (legal entity) set up within a Business Central Environment.
1.10 "Order" means the Microsoft AppSource purchase, an APPVISION quotation accepted by the End User or order confirmation, or a Partner order, specifying the Product, the License Units, the fees and the term.
1.11 "Individual Agreement" means any separate written agreement between the End User and APPVISION concerning the Product, such as an implementation, support or subscription agreement.
1.12 "Additional Functionality" means enhancements, extensions or modifications to, or built on top of, the Product made by a Partner, the End User or any third party other than APPVISION, whether specific to one End User or intended for several.
1.13 "Customer Data" means all data entered, stored or processed by or for the End User in Business Central, including data in tables created by the Product.
1.14 "Telemetry" means the technical usage and diagnostic data described in Section 9.
1.15 "Regulatory Features" means Product functionality intended to support compliance with legal, tax, accounting or reporting obligations, such as invoice data reporting to the Hungarian Tax and Customs Administration (NAV Online Számla), VAT returns or Intrastat reporting.
1.16 "Third-Party Services" means services not provided by APPVISION on which the Product relies or with which it interacts, including Microsoft services, government systems, and exchange rate or VAT number validation services.
1.17 "Microsoft Terms" means the agreements under which the End User uses Business Central (such as the Microsoft Customer Agreement) and, where applicable, the terms under which the Product is purchased through Microsoft AppSource.
1.18 "Limited Warranty" means the warranty set out in Section 17.
1.19 "Trial Period" means the period set out in Section 4.3.
2. Scope and Order of Precedence
2.1 This EULA applies to the Product regardless of whether it was obtained through Microsoft AppSource, directly from APPVISION or through a Partner, including by individual installation performed by APPVISION or a Partner.
2.2 The Product is intended exclusively for businesses and is not offered to consumers. By accepting this EULA, you represent that you are acting for purposes relating to your trade, business or profession.
2.3 In case of conflict, the following order of precedence applies: (a) the Individual Agreement; (b) the Order; (c) this EULA; (d) the Related Material. Where the Product is purchased through Microsoft AppSource with Microsoft acting as merchant of record, Microsoft's purchase terms govern the commercial transaction (billing, payment, refunds), and this EULA governs the use of the Product.
2.4 This EULA does not govern your use of Business Central, which is subject to the Microsoft Terms. You are responsible for holding valid Business Central licenses obtained from Microsoft directly or through an authorized reseller.
3. Right to Use the Product
3.1 Subject to your compliance with this EULA and to the timely payment of all applicable license and/or subscription fees, APPVISION grants you a non-exclusive, non-transferable and non-sublicensable right to use the Product. The right is limited to the term of the License and to the number of License Units obtained and covers use in your Business Central Environments for your own internal business purposes, in the manner and for the purposes described in this EULA and in the Related Material.
3.2 The right under Section 3.1 applies where you obtained the Product from APPVISION or from an authorized Partner, either through an authorized download from Microsoft AppSource or through an individual installation performed or authorized by APPVISION.
3.3 You may use the Product for your affiliated companies that are set up as Companies in your Environments, provided that your License Units cover such use.
4. Licensing Model, Trial Period and Expiry
4.1 License Units. The Product is licensed per Microsoft tenant, as specified in the Order or on the Product's Microsoft AppSource page. Use beyond the License Units obtained is not permitted.
4.2 Sandbox environments. Use of the Product in sandbox Environments for testing, development and training purposes is included in the production License. Productive use in sandbox Environments is not permitted.
4.3 Trial Period. APPVISION may offer a free Trial Period of 30 days. During the Trial Period the Product is provided "as is"; the Limited Warranty and any support obligations do not apply.
4.4 Technical license management and license verification data. The Product may verify your entitlement by technical means, such as Microsoft AppSource entitlements, license keys or online checks, automatically and without prior notice. For this purpose, the Product may periodically transmit the following license verification data to APPVISION: the Product identifiers and version number, your primary Microsoft domain (*.onmicrosoft.com), the names of your Environments, and the names and tax numbers of the Companies in which the Product is used. APPVISION processes this data for license verification on the basis of its legitimate interest (Article 6(1)(f) GDPR) and retains it for the term of the License and five (5) years thereafter. Where the data qualifies as personal data (for example in the case of sole traders), Section 10.3 applies. If the Product is not properly licensed, its functionality may be restricted. You must not circumvent, disable or interfere with these mechanisms.
4.5 Expiry. Upon expiry of the Trial Period or of a subscription, or in the event of suspension under Section 26.4, APPVISION may disable the Product. Your Customer Data remains in your Environment (Section 8).
4.6 License compliance. Use in excess of the License Units obtained, including any use not detected by the license management under Section 4.4, will be invoiced at APPVISION's current price list from the start of the excess use. Where the license management cannot determine the extent of use, or where APPVISION reasonably suspects a breach of Sections 3.3, 4.2 or 5.1, you will, upon APPVISION's written request, provide information on the number of Microsoft tenants, Named Users, Environments and Companies using the Product.
5. Restrictions
5.1 You may not:
- reverse engineer, decompile or disassemble the Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation (in particular for the purposes of interoperability as permitted under Hungarian copyright law);
- extract, download or otherwise access the source code or symbol files of the Product, unless expressly agreed in writing by APPVISION;
- rent, lease, lend, sell, sublicense or otherwise make the Product available to third parties, or use it to provide services to third parties (such as service bureau or outsourcing services), unless expressly agreed in writing by APPVISION;
- circumvent the technical license management described in Section 4.4;
- remove or alter any copyright or proprietary notices in the Product;
- use the Product in violation of applicable law or the Microsoft Terms;
- use the Product to infringe the rights of others;
- use the Product to attempt to gain unauthorised access to any service, device, data, account or network, or to disrupt their operation;
- use the Product to distribute spam or malicious software;
- use the Product in a manner that may damage it or interfere with its use by any other party;
- use the Product in any application or situation where its failure could lead to death, serious personal injury, or severe physical or environmental damage.
5.2 Not for Resale. Product provided to Partners and identified as "Not for Resale" or "NFR" may not be sold or otherwise transferred for value, or used for any purpose other than demonstration, testing, evaluation or training.
6. Reservation of Rights and Ownership
6.1 APPVISION reserves all rights not expressly granted to you in this EULA. The Product is protected by copyright and other intellectual property laws and treaties. APPVISION owns the copyright and other intellectual property rights in the Product and the Related Material. The Product is licensed or subscribed to, not sold.
6.2 If you provide APPVISION with suggestions or feedback regarding the Product, APPVISION may use them freely and without compensation.
7. Partner Modifications and Extensibility
7.1 Additional Functionality may be developed only by using the Product's documented public extensibility points (public objects, events and APIs). Objects not documented as public, or marked as internal, may change without notice.
7.2 APPVISION may change or remove extensibility points in new versions of the Product. APPVISION will endeavour to announce breaking changes in advance in the release notes.
7.3 Additional Functionality is not part of the Product. APPVISION provides no warranty or support for, and has no liability regarding, Additional Functionality or errors caused by it. Rights in Additional Functionality belong to its developer, without prejudice to APPVISION's rights in the Product.
8. Customer Data
8.1 Customer Data remains the property of the End User or its respective rights holder. APPVISION acquires no rights in Customer Data, except as necessary to provide support or other services requested by you (Section 10).
8.2 Customer Data is stored in your Business Central Environments operated by Microsoft. APPVISION does not host Customer Data, unless otherwise agreed in the Individual Agreement.
8.3 When uninstalling the Product, Business Central allows you to choose whether the data in the Product's tables is retained or deleted. You are responsible for backing up or exporting Customer Data before deletion. APPVISION is not liable for data deleted at your choice during uninstallation.
8.4 You are responsible for the correctness of the Customer Data and for maintaining appropriate backups, including the use of the restore options provided by Microsoft.
9. Telemetry and Technical Information
9.1 The Product sends Telemetry to APPVISION's Microsoft Azure Application Insights resource located in the European Union. Telemetry may include tenant and Environment identifiers, Product version, feature usage events, error messages, call stacks and performance data. APPVISION designs Telemetry so that it does not include the content of Customer Data or personal data, to the extent technically reasonable. License verification data under Section 4.4 is not Telemetry and is governed by that Section.
9.2 APPVISION may also collect technical information gathered as part of the support services provided to you in relation to the Product.
9.3 APPVISION uses Telemetry and technical information solely to provide, maintain, secure and improve its products, to provide services or technologies to you, to verify license compliance and to ensure compatibility with Business Central. Telemetry is retained for 90 days.
9.4 APPVISION will not sell Telemetry or technical information and will not disclose it in a form that personally identifies you.
9.5 Where the Product or Business Central provides a setting to limit or disable Telemetry, you may use it; this may restrict APPVISION's ability to provide support.
10. Data Protection
10.1 Each party complies with Regulation (EU) 2016/679 (GDPR) and other applicable data protection laws.
10.2 You are the controller of the personal data contained in the Customer Data. Where APPVISION accesses personal data while providing support, implementation or other services (for example through delegated administrative privileges (GDAP) or guest access), APPVISION acts as processor, and a data processing agreement pursuant to Article 28 GDPR applies. It forms part of the Individual Agreement or, in the absence thereof, is the data processing agreement published on APPVISION's website.
10.3 APPVISION processes the personal data of your contact persons as controller for the purposes of performing this EULA and communicating with you, as set out in the Individual Agreement or, in the absence thereof, in its privacy notice published on its website.
11. Regulatory Features
11.1 Regulatory Features support, but do not replace, your own compliance. You remain solely responsible for the correctness, completeness and timeliness of your tax returns, invoice data reporting, accounting records and other statutory filings, and for reviewing the output of the Product before submission.
11.2 APPVISION will use reasonable efforts to update Regulatory Features following changes in Hungarian legislation or in the technical specifications of the competent authorities. Where the final specification is published at least 60 days before the effective date, the update will generally be made available by the effective date; otherwise as soon as reasonably practicable. APPVISION does not guarantee availability on the effective date.
11.3 Regulatory Features cover only the legal requirements in force in Hungary, within the scope described in the Related Material.
11.4 Subject to Section 19, APPVISION is not liable for fines, penalties, late payment surcharges or similar sanctions imposed on you.
12. Third-Party Services, Links and Platform Dependency
12.1 The Product may rely on Third-Party Services. APPVISION does not control Third-Party Services and is not responsible for their availability, accuracy or changes. The unavailability or modification of a Third-Party Service does not constitute a defect of the Product. Your use of Third-Party Services is subject to their providers' terms.
12.2 The Product runs on Business Central, which is operated by Microsoft. APPVISION will use reasonable efforts to adapt the Product to Microsoft's platform changes within a reasonable time. APPVISION is not liable for temporary unavailability or reduced functionality of the Product caused by Microsoft's changes, outages or deprecations. The availability of the Product depends on the availability of Business Central: if Business Central is unavailable, including while Microsoft installs updates at scheduled times, the Product is also unavailable or available only to a limited extent. Unless otherwise agreed in the Individual Agreement, APPVISION makes no separate availability commitment for the Product. The use of the Product requires a broadband internet connection, which is your responsibility.
12.3 APPVISION is not responsible for the contents of any third-party sites or services, any links contained in them, or any changes or updates to them. APPVISION provides such links and access only as a convenience, and their inclusion does not imply endorsement by APPVISION.
13. Artificial Intelligence Features
13.1 This Section applies only where the Product includes features using generative artificial intelligence (such as Microsoft Copilot or Azure OpenAI Service).
13.2 AI-generated output may be inaccurate or incomplete. You must review it before relying on it or using it in any decision or filing.
13.3 AI features are processed through Microsoft services in accordance with the Microsoft Terms, including Microsoft's data residency commitments.
13.4 You must not use AI features for practices prohibited under Regulation (EU) 2024/1689 (AI Act). Where required, AI-generated content is marked as such.
14. Updates, Upgrades and Supported Versions
14.1 This EULA applies to updates, supplements, add-on components and Internet-based service components of the Product that APPVISION provides or makes available to you after the initial deployment of the Product. In Business Central Online, updates are provided, and may be obtained, exclusively through Microsoft AppSource. In other deployments, updates are provided directly by APPVISION or through a Partner.
14.2 To upgrade the Product to future versions, you must first be licensed for the Product identified by APPVISION as eligible for the upgrade.
14.3 APPVISION supports the Product on the current major version of Business Central and the two immediately preceding major versions. You must keep your Business Central Environments updated in accordance with Microsoft's update policy. Issues resulting from unsupported versions are not covered by the Limited Warranty or support.
14.4 Updates may be installed automatically through the Microsoft AppSource or Business Central app update mechanism, in accordance with your settings.
15. Support
15.1 Support is available only for Products covered by a valid License that is not suspended and for which all applicable fees have been paid, and only within the License Units obtained. This also applies to support requested by a Partner on behalf of an End User. During the Trial Period, Section 4.3 applies. The scope of support is set out in the Individual Agreement or the Order.
15.2 In the absence of such provisions, APPVISION provides support for reproducible errors of the Product through the support portal or by e-mail on business days between 9:00 and 17:00 CET, on a reasonable-efforts basis and without a guaranteed response time.
15.3 Support does not cover Additional Functionality, user errors, configuration, training, data correction or Third-Party Services.
16. Fees and Payment
16.1 Fees are set out in the Individual Agreement or the Order. For purchases through Microsoft AppSource, billing and payment follow Microsoft's terms.
16.2 Unless otherwise provided in the Individual Agreement, invoices issued by APPVISION are payable within eight (8) days of issue. In case of late payment, APPVISION is entitled to late payment interest and the flat-rate recovery cost as provided by Hungarian law.
16.3 Unless otherwise provided in the Individual Agreement, if payment is more than 15 days overdue, APPVISION may suspend the Product after prior written notice (Section 26.4).
16.4 APPVISION may adjust its fees once per calendar year, with effect from the next renewal, by giving at least 60 days' notice. The increase may not exceed the annual consumer price index published by the Hungarian Central Statistical Office (KSH) for the previous year. If you do not accept the adjustment, you may terminate the subscription with effect from the end of the current term.
16.5 All fees are exclusive of VAT.
17. Limited Warranty
17.1 APPVISION warrants that the unmodified Product will perform substantially in accordance with the Related Material for a period of thirty (30) days from the first deployment of a paid License.
17.2 Your sole remedy under the Limited Warranty is that APPVISION corrects the error or provides a reasonable workaround. If this is not possible within a reasonable time, you may terminate the License for the affected Product and receive a refund of the fees paid for it.
17.3 The Limited Warranty does not apply during the Trial Period, or to errors caused by Additional Functionality, misuse, unsupported Business Central versions or Third-Party Services.
18. Disclaimer of Warranties
18.1 Except for the Limited Warranty and Section 21, and to the maximum extent permitted by law, APPVISION does not guarantee, represent or warrant that your use of the Product will be uninterrupted, timely, secure or error-free, or that the results obtained from its use will be accurate or reliable.
18.2 The Product is provided "as is" and "as available", without any other representation, warranty or condition of any kind, whether express or implied, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement.
19. Limitation of Liability
19.1 To the maximum extent permitted by law, in no event shall APPVISION or its directors, officers, employees, affiliates, agents, contractors, subcontractors, interns, suppliers, service providers or licensors be liable for any indirect, incidental, punitive, special or consequential damages. This includes, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, fines or similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from or related to your use of the Product or your inability to use it, even if advised of their possibility.
19.2 APPVISION's total aggregate liability arising out of or in connection with this EULA is limited to the fees actually paid by you for the affected Product in the twelve (12) months preceding the event giving rise to the liability. For Products provided free of charge or during the Trial Period, APPVISION's liability is limited to the minimum permitted by law.
19.3 In case of loss of data, APPVISION's liability is limited to the reasonable cost of restoring the data from your latest backup.
19.4 Sections 19.1 to 19.3 do not apply to liability for intentional breach of contract, for breach of contract causing damage to life, physical integrity or health, or to any other liability that cannot be excluded or limited under mandatory law.
20. Indemnification by the End User
You agree to indemnify, defend and hold harmless APPVISION and its partners, directors, officers, employees, agents, contractors, subcontractors, licensors, service providers, suppliers and interns from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (a) your breach of this EULA or the documents it incorporates by reference, (b) your violation of any law or the rights of a third party, or (c) Additional Functionality commissioned or used by you.
21. Intellectual Property Infringement
21.1 APPVISION will defend you against any third-party claim alleging that the unmodified Product, used in accordance with this EULA, infringes a copyright or other intellectual property right valid in the European Union. APPVISION will pay the damages finally awarded or agreed in a settlement approved by APPVISION, provided that you (a) notify APPVISION of the claim promptly in writing, (b) give APPVISION sole control of the defense and settlement, and (c) provide reasonable cooperation.
21.2 If such a claim is made or is likely, APPVISION may, at its option, procure the right for you to continue using the Product, modify or replace it so that it becomes non-infringing, or terminate the License and refund the prepaid fees for the unused period.
21.3 APPVISION has no obligation for claims arising from Additional Functionality, from combination of the Product with products not provided by APPVISION, from modifications not made by APPVISION, or from use of a superseded version where the current version would have avoided the infringement.
21.4 This Section states APPVISION's entire liability for intellectual property infringement and is subject to Section 19.2.
22. Confidentiality
22.1 Each party keeps confidential the non-public information of the other party that it obtains in connection with this EULA, including business secrets, Customer Data accessed during support, non-public Product information and pricing. It uses such information only for the purposes of this EULA and discloses it only to its employees and advisers who need to know it and are bound by confidentiality obligations.
22.2 This obligation does not apply to information that is or becomes public without breach, that was already lawfully known to the recipient, that is independently developed, or whose disclosure is required by law or by an authority (with prior notice to the other party where permitted).
22.3 The obligation survives for five (5) years after termination of this EULA, and for business secrets for as long as they remain business secrets.
23. Information Security and Incident Notification
23.1 APPVISION maintains appropriate technical and organizational measures for the development of the Product and for its access to your Environments, including secure development practices, least-privilege delegated access and multi-factor authentication.
23.2 If APPVISION becomes aware of a security incident affecting the Product or Customer Data accessed by APPVISION, it notifies you without undue delay, and in any event within 72 hours. APPVISION provides the information reasonably required for you to meet your obligations under the GDPR and the applicable cybersecurity laws implementing Directive (EU) 2022/2555 (NIS2).
24. Export Control, Sanctions and Geographic Restrictions
24.1 You acknowledge that the Product is subject to the geographic restrictions imposed by Microsoft on Business Central.
24.2 You represent that you are not listed on any sanctions list of the European Union, the United Nations, the United States or the United Kingdom, and are not owned or controlled by a listed person. You will not use, export or make available the Product in violation of applicable sanctions or export control laws.
24.3 APPVISION may suspend or terminate the License with immediate effect in case of breach of this Section.
25. Transfer and Assignment
25.1 You may not transfer the Product, the License or your rights under this EULA to another person, whether an individual or a legal entity, without APPVISION's prior written consent. Use by multiple end users under one Dynamics 365 license is restricted by Microsoft's licensing guidelines.
25.2 APPVISION may transfer this EULA to an affiliate or to a successor in connection with a merger, acquisition or sale of the relevant business, by notifying you. You hereby consent in advance to such transfer.
26. Term, Suspension and Termination
26.1 Term. This EULA takes effect upon your acceptance or upon installation or use of the Product, whichever is earlier, and remains in force for the term of the License (perpetual or subscription term, as specified in the Order or the Individual Agreement). Subscriptions renew automatically unless cancelled in accordance with the Order or Microsoft AppSource. The License terminates automatically if your right to use Business Central terminates.
26.2 Termination by you. Unless otherwise provided in the Individual Agreement, you may terminate this EULA at any time by uninstalling the Product and cancelling the subscription. Prepaid fees are not refunded, unless the Order, Microsoft's refund policy or mandatory law provides otherwise.
26.3 Termination by APPVISION. Unless otherwise provided in the Individual Agreement, and without prejudice to any other rights, APPVISION may terminate this EULA with immediate effect by written notice if you materially breach it and fail to remedy the breach within [15] days of written notice. No cure period applies where the breach is incapable of remedy, such as a breach of Section 5.1 items 1, 2, 4 or 7 to 11, or of Section 24.
26.4 Suspension. In case of non-payment (Section 16.3, unless otherwise provided in the Individual Agreement), breach of Section 5.1 items 7 to 11 or of Section 24, circumvention of license management, or a serious security threat, APPVISION may suspend or restrict the Product. APPVISION gives prior notice where reasonably practicable, and may act immediately where necessary to prevent serious harm. APPVISION is not liable for any damage resulting from a lawful and justified suspension.
26.5 Effects. Upon termination, you must cease using the Product and uninstall it from your Business Central Environments. Section 8.3 applies to the Customer Data. Fees accrued up to termination remain payable.
26.6 Survival. Sections 6, 8, 16 (for outstanding fees), 18 to 22, 26.5 and 31 to 33 survive termination.
27. Discontinuation of the Product
27.1 APPVISION may discontinue the Product or any material functionality by giving at least twelve (12) months' written notice. A shorter period applies only where the discontinuation is caused by Microsoft or by legal requirements.
27.2 During the notice period, the Product remains usable and receives critical fixes. Prepaid fees relating to the period after discontinuation are refunded pro rata.
28. Force Majeure
28.1 Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. Such events include natural disasters, war, terrorism, cyberattacks not attributable to the affected party, acts of government, epidemics, strikes and outages of Microsoft services or other Third-Party Services.
28.2 The affected party notifies the other party without delay and uses reasonable efforts to mitigate the consequences. If the event lasts more than 60 days, either party may terminate the affected Order. Payment obligations for services already provided are not excused.
29. Changes to this EULA
29.1 APPVISION may amend this EULA with effect for the future. The current version is available at https://en.appvision.hu/bc-apps-eula (English) and [URL – Hungarian]. Earlier versions are available on request.
29.2 APPVISION notifies you of material changes at least 30 days before they take effect, by e-mail, in the Product or through your Partner. Changes required by law or for security reasons, and changes solely in your favour, may take effect immediately.
29.3 If you do not accept a material change, you may terminate this EULA before the change takes effect, with effect from that date. Your continued use of the Product after the effective date constitutes acceptance of the change.
30. Notices
30.1 Notices under this EULA must be in writing; e-mail is sufficient. Notices to APPVISION are sent to appvision@appvision.hu. Notices to you are sent to the e-mail address provided in the Order or registered as your administrative contact for the Microsoft AppSource purchase.
30.2 Electronic notices qualify as written notices. An e-mail or other electronic notice is deemed received when you receive or download it, but no later than on the third (3rd) business day after it was sent or made available. Operational notices may also be given in the Product or on APPVISION's website.
31. Miscellaneous
31.1 Severability. If any provision of this EULA is determined to be unlawful, void or unenforceable, it shall nonetheless be enforced to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed severed, and this shall not affect the validity and enforceability of the remaining provisions.
31.2 Entire agreement. This EULA, together with the Order and any Individual Agreement, constitutes the entire agreement regarding the Product and supersedes prior agreements on the same subject. Terms in your purchase orders do not apply.
31.3 No waiver. Failure or delay in exercising a right does not constitute a waiver of that right.
32. Governing Law and Dispute Resolution
32.1 This EULA and any separate agreements whereby APPVISION provides you Products are governed by Hungarian law, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
32.2 The parties first attempt to settle any dispute amicably within thirty (30) days of written notice of the dispute.
32.3 Failing amicable settlement, the parties submit to the exclusive jurisdiction of the Pesti Központi Kerületi Bíróság (Central District Court of Pest) or, where the Fővárosi Törvényszék (Metropolitan Court of Budapest) has subject-matter jurisdiction, that court.
33. Language
This EULA is made in English and Hungarian. In case of any discrepancy between the two versions, the Hungarian version prevails.
